Form 5 · Chapter 6

The Procedure for Registering a Business Entity

Registering a business with SSM follows an orderly set of steps, from a name search to receiving the certificate.

Registering a business with the Companies Commission of Malaysia (SSM) is the official step to begin operating lawfully. The procedure is orderly and can be done at an SSM counter or through the Ezbiz Online portal.

Steps in registration

  • Name search — checking that the business name is not already used by someone else.
  • Filling in the registration form — Form A is used for sole proprietorships and partnerships.
  • Submitting documents — the identity card and business details such as the address and type of activity.
  • Paying the registration fee — a fee set according to the type of business.
  • Receiving the certificate — the Business Registration Certificate is issued once approved.

Example

Mrs Siti wants to open a salon. She does a name search for "Salun Seri Siti", fills in Form A through Ezbiz Online, pays the fee, and receives a Business Registration Certificate valid for one year.

Validity and renewal

A business registration is usually valid for one year and can be renewed for up to five years at once. The certificate must be renewed before the expiry date so that the business stays lawful.

Remember

The Business Registration Certificate must be displayed at the business premises so that customers and the authorities can see it.

The registration fee differs by the type and period of registration. Registering through Ezbiz Online is faster because the entrepreneur can fill in details, upload documents and pay online without queuing at a counter. Once the application is approved, the certificate can be printed and kept as a record. Entrepreneurs are also encouraged to open a separate business bank account so that personal and business transactions do not mix.

For a Sdn. Bhd. company, registration requires at least one director and one company secretary. An orderly procedure ensures the business starts on a lawful and proper footing.
